Please review this agreement carefully before accessing our digital service.

This document details the terms that govern your access to and use of The Tech News Portal. By utilizing our Platform, you explicitly agree to comply with all clauses outlined below. If you do not accept these terms, you must immediately cease all use of our service, the proprietary content we provide, and any community-generated material.

If you are entering into this contract on behalf of an organization, you confirm that you have the legal authority to bind that business to these obligations. In that context, “you” or “your” refers to the business entity. Otherwise, it refers to you, the individual user. Information on how we handle your personal data is available in our Privacy Policy.

I. Account Registration and Financial Terms

Account Creation and Security

  1. Registration and Accuracy: When registering, you must ensure all provided information is accurate, complete, and kept current.
  2. Exclusive Access: Your user account is intended solely for your personal use and must not be shared with or accessed by any third party. Your username and password are confidential credentials.
  3. Security Breach Notification: You must promptly notify us at editor@thetechnewsportal.com if you suspect your account security has been compromised or if unauthorized access has occurred. We reserve the right to suspend or revoke any account credentials at our discretion.
  4. Binding Agreement: By using our Platform, you affirm your legal capacity to enter into contracts in your jurisdiction.

Subscription and Access Fees

  1. Paid Features: While base access is offered without charge, access to certain advanced features requires a paid subscription, the cost of which depends on your chosen membership level. All listed prices exclude applicable taxes and duties, which you are responsible for paying.
  2. Free Trial Terms: We may offer temporary free trials to premium content. During this trial period, the Platform is provided “as is”, without any explicit performance guarantees or warranties. Continued access after the trial expires requires payment of the relevant fees.
  3. Limited Free Access: Users without a paid membership are granted access to a maximum of one article per month. This free content is also provided “as is” with no guarantees.
  4. Fee Changes: We will provide 14 days’ advance notice before implementing any increases to subscription fees.

Membership Adjustments

  1. Upgrades and Downgrades:
    • Upgrading your membership level will result in an immediate, pro-rata adjustment of your fees.
    • Downgrading will take effect on the next billing cycle.
    • Data Loss Warning: Be advised that reducing your subscription level may lead to the permanent loss of certain data or functionalities, for which we accept no liability.

II. Platform Functionality and Service Availability

The Platform’s Scope

  1. Our Service (“Platform”): Our Platform, The Tech News Portal, delivers in-depth coverage of the European startup economy, including:
    • Proprietary Content (“TTP Content”): Original, thought-provoking articles and data-driven analyses created by us.
    • Curated Content (“Third Party Content”): Selected and aggregated articles from external sources.
    • Together, these are referred to as the “Partnered Content.”
  2. Community and Profile Features: We facilitate the TTP Community, allowing users to create profiles, network, and share knowledge and insights with other users.

Service Reliability and Maintenance

  1. Performance: We will strive to ensure the Platform operates reliably according to the description at the time of your subscription.
  2. Security: We employ technology to defend against malware and viruses, but we do not guarantee that the Platform will be completely secure or free from malicious software. You are responsible for safeguarding your own IT systems.
  3. Error Correction: If you report a significant functional error, our sole obligation is to correct the substantial error within a reasonable timeframe.
  4. Service Suspension: We retain the right to temporarily restrict, suspend, or permanently withdraw access to all or part of our Platform for necessary business or operational reasons, without guarantee of uninterrupted service.
  5. User Compliance: You are responsible for ensuring anyone accessing the Platform via your connection is aware of and complies with these Terms.

Breach and Unauthorized Access

  1. Breach Consequences: If you violate these Terms, we may take immediate action, including: permanent or temporary removal of your access, deletion of any Community Content you uploaded, initiation of legal action, or disclosure of your identity to law enforcement authorities as required by law.
  2. External Disruptions: We are not liable for any losses you incur due to loss of access resulting from disruptions in your own internet or telecommunications services.
  3. Third-Party Links: Links to external sites or content are provided purely for convenience and do not imply our endorsement or approval of those resources.

III. Content, Data, and Intellectual Property

Your Content (Community Content)

  1. Ownership: You or your licensors retain all intellectual property rights in any Community Content (any material, inside or outside the Community feature, uploaded or provided by you).
  2. Public License: If you choose to share your Community Content publicly, you grant us a non-exclusive, worldwide, permanent, royalty-free license to use, share, and make that content available to other Platform users.
  3. Warranties: You confirm that all Community Content you upload does not violate the intellectual property rights of any third party. You accept you have no claim against us if we independently create similar public content.
  4. Data Rights: Documents, files, and other data you transmit remain your property, but you grant us a transferable, non-exclusive, worldwide, royalty-free license to use that data specifically to improve our Platform.
  5. Content Rules: All Community Content must be:
    • Factually accurate (where stating facts).
    • A genuine expression of opinion (where stating opinions).
    • Compliant with the laws of England and Wales.
    • Must not be defamatory, illegal, promote violence or explicit material, infringe IP rights, deceive, contain advertising for competing entities, or introduce malicious software.

Our Content and Platform IP

  1. Our Platform IP: We (or our licensors) own all intellectual property rights in the Platform itself, including all design, modifications, and improvements.
  2. Provided Content IP: We (or our licensors) own all IP rights in the Provided Content (TTP Content and Third Party Content).
  3. Limited License: We grant you a revocable, non-exclusive, internal-use-only license to use the Platform and access the Provided Content for the term of your subscription.
  4. Permitted Use of TTP Content: You may download TTP Content for your personal use and share it with other members within your own organization. You must not modify any TTP Content you download.
  5. Prohibited Activities: You must not reverse engineer, copy, modify, translate, or attempt to derive the source code of the Platform. You must also refrain from selling, leasing, or otherwise transferring Platform rights to third parties.
  6. No Unauthorized Access: You must not attempt to gain unauthorized entry to our Platform, its servers, or associated networks (e.g., via denial-of-service attacks). Such actions constitute a criminal offense, and we will report all breaches to relevant law enforcement.

IV. Term, Termination, and Liability

Agreement Term and Cancellation

  1. Term Duration: Your subscription begins on the date of signup and typically runs for the period specified in your order receipt (e.g., 12 months for annual, 1 month for monthly).
  2. Termination by You: If you cancel, your access and liability for fees will continue until the next scheduled renewal date. You are not entitled to any refund for prepaid fees covering the remainder of the current term.
  3. Mutual Termination: Either party may terminate this agreement with 30 business days’ written notice following a material breach that is not cured. Termination is immediate if a party becomes subject to bankruptcy or insolvency proceedings.
  4. Data Deletion: Upon request to editor@thetechnewsportal.com, we will delete all of your individual private profile data. However, information about your company or any content you shared publicly will be retained to maintain the integrity of the Platform service.

Limitations of Liability

  1. Excluded Losses: We do not limit liability for actions where the law prevents us from doing so (e.g., death or personal injury caused by our negligence).
  2. Warranty Disclaimer: We disclaim all implied guarantees, representations, or warranties that might apply to our Platform or its content.
  3. Liability Cap: We will not be liable to you for any loss or damage (contract, tort, etc.) arising from your use or inability to use the Platform, or your reliance on any content. Specifically, we are not liable for loss of profits, revenue, business opportunity, anticipated savings, or any indirect or consequential loss.
  4. No Content Guarantee: We provide no guarantee as to the quality or suitability of the content for your specific purposes. You must conduct your own independent due diligence.

V. General Provisions and Event Delegate Terms

General Provisions

  1. Notices: We will issue most non-material notices via the Platform itself. Notices that significantly affect your rights will be sent via the subscription email address you provided.
  2. Legal Contact: All formal complaints, legal disputes, or notices regarding insolvency should be directed to editor@thetechnewsportal.com
  3. Governing Law: This agreement is governed by English law, and you submit to the jurisdiction of the English courts (with exceptions for residents of Scotland and Northern Ireland).
  4. Policy Updates: We reserve the right to change these Terms by publishing the latest dated version on our site.

Event Delegate Terms and Conditions

  1. Booking Confirmation: All registrations for The Tech News Portal Events are subject to acceptance and availability. A legally binding contract is established only upon our written confirmation and receipt of the full Fee.
  2. Fees and VAT: Fees include event materials and refreshments (for in-person) or access (for digital). They do not cover travel or accommodation.
  3. Changes and Substitutions: We may alter the content, format, or timing of an Event, and we will notify delegates promptly. We may allow you to send a substitute attendee if notified at least 24 hours prior to the Event start.
  4. Cancellation Policy (Fees Payable): The ticket charges or payments once made are absolutely non-refundable or cancellable under any circumstance, except in case where the event is cancelled
  5. Postponement/Cancellation by TTP: If an Event is canceled, or if it is postponed and you cannot attend the new date, our liability is limited to refunding the Fees paid. We are not liable for any further expenditure (travel, accommodation, etc.) you may have incurred.
  6. Attendance and Ejection: We reserve the right to refuse entry or remove delegates who violate these Terms or pose a risk or nuisance, without liability.
  7. Recording and Publicity: You may take reasonable personal photographs or recordings, but commercial use or recording the entire Event is prohibited. You consent to us using any footage or photographs featuring you for advertising, publicity, or reporting purposes.
  8. Liability Disclaimer: Views expressed by speakers are their own; we disclaim all liability for advice or views shared during the Event. Materials are for information only and should not be relied upon.
